User Registration Agreement
Welcome! By registering with or using this service, you accept these registration terms and our Terms of Service. This service and website, including all of its features and content (The "Network") is a service made available by The Well BH; all information and services provided on or through this Network ("Materials") may be used solely under the following terms and conditions ("Registration Terms"):
1. LIMITED LICENSE TO USE NETWORK
The Well BH is pleased to grant you, as a user of this Network, a nonexclusive, non transferable revocable, limited license to access and use of this Network and the Materials in accordance with these Registration Terms and any specific terms and conditions that may be posted in connection with particular Materials. In the event of any conflict between these Registration Terms and any such specific terms and conditions applicable to particular Materials, the particular Materials shall govern. The Materials on this Network are only for your personal use and they are not for commercial exploitation (for example, by resale to others or by republication to the public). The Well BH may terminate this license at any time for any reason, and, in any such case, any data or information that you provided may be deleted without notice to you.
2. RELATIONSHIP WITH The Well BH
The Well BH is strictly a listing service that provides that platform for clients and counselors to have virtual counseling sessions. Individuals who are seeking counseling services are not considered to be the "clients" of The Well BH. Similarly, clinicians listed on this site are not considered employees. Although The Well BH confirms the credentials of listed clinicians, all clinicians are considered autonomous and independent mental health providers.
The Well BH and its agents and representatives are not responsible for any claims you may have against any mental health professionals or any other persons, institutions or entities identified in whole or in part through this Network.
3. NOT PROFESSIONAL ADVICE
The Well BH is neither a professional counselor nor a mental health service provider. The Network and Materials are not intended to and do not constitute professional advice, or counseling and no professional relationship is formed between you and The Well BH or any The Well BH employee or representative. This Network and its Materials and resources are not intended, and must not be taken, to be the rendering of professional mental health care advice or services, or the practice of medicine, nursing, or professional mental health care, in any jurisdiction.
This Network and its Materials and resources are not intended to be a substitute for professional advice, counseling or for the care that mental health patients receive from mental health professionals. Nothing in this Network is intended to be used for diagnosis or treatment. Always seek the advice of your mental health professional or health care professional before beginning any new treatment or if you have any questions regarding a condition. You should not disregard professional mental health advice or medical advice, or delay seeking advice or counseling, because of something you read in this Network.
The Well BH has made reasonable efforts to confirm that the information listed for each mental health professional is up to date and accurate. Prior to scheduling an appointment, please contact the mental health professionals to verify that he/she continues to be in practice, licensed and in good standing in his/her jurisdiction. Users will not hold The Well BH responsible for clinicians who intentionally misrepresent their personal information or qualifications. Furthermore, users should access mental health services with providers listed on The Well BH at their own discretion and will, and shall not hold The Well BH responsible for treatment outcomes, disagreements, or malpractice of the providers.
Our listing of a particular mental health professional or counselor is not a recommendation or endorsement of any particular mental health care provider and should not be considered to be advice about the quality of any particular provider or the provider's suitability for any particular conditions or services.
4. ERRORS AND CORRECTIONS
The Well BH does not promise that this Network or the Materials are or will be error free, or free of viruses, or other harmful components, that defects will be corrected or that it or they will always be accessible. The Well BH does not promise that it or the Materials will be correct, accurate, timely, or otherwise reliable. Additionally, The Well BH is not responsible for information provided by mental health information content providers, third party sites linked to or framed by the Website, or third-party sites, and does not make any representations regarding the content, accuracy, or timeliness of any such information.
The Well BH may make improvements and/or changes to its features, functionality, or Materials at any time.
Your use of these Materials on this Network or of any material is at your own risk.
5. ETHICS NOTICE
If you are a licensed counselor participating in any aspect of this Network, you acknowledge that the applicable rules governing mental health professionals/counselors of the jurisdictions where you are licensed ("Rules") apply to all aspects of your participation and you agree that you will abide by those Rules. The Well BH disclaims all responsibility for your compliance with those Rules.
6. INTELLECTUAL PROPERTY RIGHTS
Nothing in these Registration Terms or in the Terms of Service should be construed as conferring upon any intellectual property license or right whatsoever. You agree that the Materials and the Network are protected by applicable copyrights, trademarks, service marks, patents or other proprietary rights and laws, all of which belong to The Well BH or its licensors.
7. REGISTRATION AND USE OF NETWORK
In registering to use the Network, you agree to provide The Well BH with accurate and complete registration information. It is your responsibility to inform The Well BH of any changes to that information.
Nothing submitted via this Network is treated as confidential except as provided in the Notice of Privacy Policies and this User Registration Agreement available on The Well BH website. If particular web pages permit the submission of communications which will be treated by The Well BH as confidential, that fact will be stated on those pages. You are responsible for your own communications and the consequences of such posting.
8. PASSWORDS AND ACCOUNT
Your username and password (collectively, the "Password") will allow you to access the Network. Your Password is the exclusive property and confidential information of The Well BH and may be used solely for your individual use and access to the Network. You are solely responsible for controlling your Passwords and for authorizing, monitoring and controlling access to your account. You are prohibited from distributing, providing, or otherwise making available your Password to any third party and are responsible for all activities that occur under your Password.
You are responsible for preventing unauthorized use of your registration (for example, by keeping Passwords confidential). You agree to notify The Well BH immediately of any unauthorized use of your Password or of any need to deactivate the Password(s) associated with your account. If you believe that there has been unauthorized use, please notify The Well BH immediately at [email protected].
9. DISCLAIMER
THIS NETWORK AND THE MATERIALS ARE PROVIDED ON AN "AS IS" BASIS. The Well BH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT. The Well BH DISCLAIMS ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND RESULTING FROM,ARISING OUT OF OR IN ANY WAY RELATED TO (a) ANY ERRORS IN OMISSIONS FROM THIS NETWORK OR THE MATERIALS, INCLUDING BUT NOT LIMITED TO TECHNICAL INACCURACIES AND TYPOGRAPHICAL ERRORS, (b) ANY THIRD PARTY WEBSITES, OR ANY CONTENT THEREIN, THAT ARE ACCESSED DIRECTLY OR INDIRECTLY THROUGH LINKS IN THIS WEBSITE, INCLUDING BUT NOT LIMITED TO ANY ERRORS IN OR OMISSIONS THEREFROM, (c) THE UNAVAILABILITY OF THIS NETWORK, THE MATERIALS, OR ANY PORTION THEREOF, (d) YOUR USE OF THIS NETWORK OR THE MATERIALS OR (e) YOUR USE OF ANY EQUIPMENT OR SOFTWARE IN CONNECTION WITH THIS WEBSITE OR THE MATERIALS. You may have additional consumer rights under your local laws which these Registration Terms do not change. Your use of this Website is subject to the Privacy Policy and Terms of Service of The Well BH.
10 JURISDICTION AND DISPUTE RESOLUTION
The Well BH is Texas, LLC in the United States of America and makes no claims that the content and information included at this site are appropriate or may be downloaded outside of the United States. Access to the content and information included at this Network may not be legal by certain persons or in certain countries. If you access this Network from outside the United States, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction and any other applicable laws.
This user agreement shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to choice of law provisions of any jurisdiction. You agree that any issues and disputes between The Well BH and you in any way related to this Network that cannot be resolved privately shall be submitted exclusively to legally binding arbitration in accordance with the then current Rules of Procedure for Christian Conciliation of the Institute of Christian Conciliation (the "Institute"), which are incorporated by reference into these terms. By registering and agreeing to these Terms, you agree that legally binding arbitration in accordance with the then current Rules of Procedure for Christian Conciliation of the Institute shall be the sole remedy for any controversy or claim arising from or related to your use of the Network and Materials, and we both expressly waive our respective rights to file a lawsuit in any civil court against one another for such disputes, except to enforce the provisions of this paragraph.
